Monica B. Sax

Monica is an Associate in the Corporate Practice Group at Morse. She advises startups, emerging growth companies, founders, investors, and acquirers on a broad range of corporate and transactional matters throughout the company lifecycle.

Monica works with clients from formation through exit, counseling companies on corporate governance, equity compensation, capitalization matters, venture capital financings, strategic transactions, and day-to-day legal issues. She regularly represents companies in seed, venture, and growth-stage financing transactions, including SAFE financings, convertible note financings, preferred stock financings, and other strategic investment transactions. She also advises clients in mergers, acquisitions, asset sales, and other liquidity events, helping management teams and founders navigate complex legal and business considerations throughout the transaction process.

Drawing on experience representing both high-growth companies and investors, Monica provides practical and business-focused advice designed to help clients achieve their strategic objectives while managing legal risk. Clients value her attention to detail and ability to guide transactions efficiently from initial negotiations through closing.

Before joining Morse as an attorney, Monica served as a law clerk at the firm, where she assisted attorneys with transactional, diligence, and corporate governance matters. During law school, she clerked for the Honorable Judith G. Dein of the U.S. District Court and worked in-house at an education technology company. She also served as a student attorney with the Northeastern University School of Law Community Business Clinic, advising small businesses and nonprofit organizations on entity formation, governance, and general business matters.
